The Qualifying Transaction proceeded by way of a three-cornered amalgamation pursuant to which Applied Graphite Technologies Corporation, a private company incorporated under the Business Corporations Act (British Columbia)(“AGT”), amalgamated with 1445056 B.C. Ltd., to become a wholly-owned subsidiary of the Corporation (“AGT Resources”). The name of the amalgamated subsidiary corporation is “AGT Resources Corporation”.

Mr. Baxter is a leading graphite expert with extensive experience in Sri Lanka. He built one of the only two producing graphite mines in North America and served as CEO of Ceylon Graphite. Don holds a degree in Mining Engineering from Queen’s University and is a Registered Professional Engineer. He has extensive knowledge in lithium ion battery space, developing various natural graphite sources for use in batteries. He was the first to process vein graphite into anode material for lithium ion batteries.
Mr. Chaanaka has over 20 years of experience in finance and accounting with public and private companies, having started his career in public practice. He has extensive experience in producing mines and mineral exploration companies. He has held progressively senior accounting positions at copper producers Huckleberry Mines and Taseko Mines Limited
Mr. Sharma, with over 20 years of experience in finance and accounting, has held senior positions at Huckleberry Mines and Taseko Mines Limited, and most recently as Controller at Trilogy Metals Inc., a NYSE-listed mineral exploration company, where he was responsible for all aspects of financial reporting and compliance. Mr. Sharma holds a Master of Business Administration degree and is a Chartered Professional Accountant.
Ms. Borromeo, with 15 years of experience in natural resources and renewable energy, has managed mining client companies and led investor relations efforts for Chakana Copper Corp, Miller Energy Resources, and Fission Uranium. Ms. Borromeo started her career working as a field biologist and holds a BSc. in Biology and Geology from Simon Fraser University.
Mr. Ruane has 31 years of experience as a Managing Director with leading advisory firms and is currently Managing Member of Whitney Hill Partners. He served as the Chief Operating Officer of a coal mining company and was a member of President Reagan’s Private Sector Survey. Ruane holds an MBA, BS, and Certificate in Accounting, and is a Certified Turnaround Professional. He served as an officer in the United States Marine Corps managing a logistics operation.
Mr. Stevens has worked in the mining securities industry, initially as an Investment Analyst with Salman Partners Inc. during which time he received recognition as a top-rated analyst for the metals & mining industry. Subsequently, he was a merchant banker with Peninsula Merchant Syndications Corp. and Portfolio Manager at Wolverton Securities Ltd. Rodney also served as Vice President of Ceylon Graphite, providing direct graphite industry experience.
Mr. Harris is a mining engineer with 20 years of experience, including 10 years in South America. He served as CEO of AMAK Mining and Para Resources and Senior Vice President of Corriente Resources in Ecuador. Harris successfully reactivated Corriente’s projects in Ecuador, leading to its sale for $690 million. He is bilingual in Spanish and English.
